SECTION 01Engagement Framework

1. Acceptance & Engagement Framework

We distinguish between two operational relationships:

  • Website Visitors & Audit Candidates: Browsing our site, scheduling a discovery call, or submitting a store URL for our Free Store Audit constitutes a pre-contractual exploratory evaluation. The audit is a diagnostic assessment and does not bind either party to an agency engagement.
  • Retainer Clients: Ongoing day-to-day store management is governed by a separate, formally executed Master Services Agreement (MSA) and Statement of Work (SOW) that supplements and supersedes general website terms regarding specific deliverables, confidentiality, and channel SLAs.
SECTION 02Operational Boundaries

2. Scope of Multi-Marketplace Operations

CALI ECOMMANAGEMENT LLC delivers full-service daily operational management across five primary marketplaces: Amazon (Seller & Vendor Central), TikTok Shop, Walmart Marketplace, eBay, and Shopify. Depending on your contracted tier, our management scope includes:

  • Catalog Hygiene & SEO: Title optimization, bullet points, backend search term indexation, variation tree maintenance, and A+ content.
  • Advertising & PPC Management: Sponsored Products, Sponsored Brands, Sponsored Display, TikTok Spark Ads, Walmart Connect, and eBay Promoted Listings managed under disciplined target TACoS parameters.
  • Inventory & Supply Chain Monitoring: Reconciling FBA and WFS inbound shipments, monitoring stranded inventory, tracking stock velocity, and generating replenishment guidance.
  • Customer Service Response SLAs: Responding to buyer inquiries, return requests, and feedback disputes within mandatory platform timeframes.
  • Account Health Surveillance: Monitoring Voice of the Customer (VOC), Order Defect Rate (ODR), Late Dispatch Rate (LDR), and filing rapid Safe-T and policy appeals.

Our role is operational management and strategic execution. We do not manufacture goods, operate physical warehouse storage, act as a freight forwarder, or guarantee specific gross revenue totals.

SECTION 03Client Duties

3. Client Responsibilities & Account Access

Successful marketplace execution requires mutual collaboration. The client agrees to:

  • Maintain Primary Account Ownership: The client remains the designated legal account holder of all seller portals and is solely responsible for maintaining active merchant agreements with Amazon, Walmart, TikTok, eBay, and Shopify.
  • Grant Secondary Delegated Permissions: The client provisions secondary, role-based user permissions (e.g., Amazon User Permissions, TikTok Partner Delegation) to our named operations leads. The client must never share root/master passwords or primary banking access.
  • Maintain Product Quality & Compliance: The client warrants that all products sold comply with applicable federal, state, and local safety standards, EPA/FDA regulations, intellectual property laws, and marketplace category guidelines.
  • Fund Advertising Spend Directly: All media and PPC advertising budgets are billed directly to the client's credit card or credit line linked within the advertising consoles. We manage campaigns, but never disburse or mark up ad media spend.
SECTION 04Fee Structure

4. Monthly Retainers, Billing & Invoicing

We operate strictly on fixed monthly retainers based on your channel footprint and SKU complexity, as published on our Pricing schedule:

  • Zero Revenue Sharing: We never charge commissions or percentages on gross sales. Your top-line growth belongs entirely to your business.
  • Billing Cadence: Retainers are invoiced electronically on a 30-day recurring basis in advance of each operational cycle.
  • No Lock-In Contracts: Services operate month-to-month and may be adjusted or cancelled in accordance with Section 10.
SECTION 05Ownership Rights

5. Intellectual Property & Brand Assets

We uphold an unambiguous, clean intellectual property standard:

  • Client Ownership: The client retains 100% exclusive ownership of all trademarks, brand names, product photography, packaging artwork, registered patents, and customer review histories.
  • Work Product Assignment: All custom listing copy, backend keyword maps, A+ content graphics, and promotional assets created by our team for your store during active billing cycles are assigned fully to the client upon receipt of retainer payment.
  • Agency Proprietary Tools: CALI ECOMMANAGEMENT retains ownership of internal audit templates, diagnostic scripts, operational SOP documentation, and proprietary data analysis workflows used to service accounts.

6. Independent Status & Third-Party Trademarks

Amazon, Seller Central, FBA, TikTok, TikTok Shop, Walmart, Walmart Marketplace, WFS, eBay, and Shopify are registered trademarks of their respective corporate owners.

CALI ECOMMANAGEMENT LLC is an independent management and growth agency. The use of third-party logos, platform names, or trademarks on this website and in client deliverables is strictly for nominative reference to describe marketplace channels where we provide management services. We are not affiliated with, sponsored by, authorized by, or endorsed by Amazon.com, Inc., ByteDance Ltd., Walmart Inc., eBay Inc., or Shopify Inc.

SECTION 07Regulatory Realities

7. Operational Realities & Disclaimers

E-commerce platforms operate under proprietary search algorithms, automated compliance bots, and autonomous seller performance enforcement systems that change without prior notice:

  • No Guaranteed Sales Projections: While we deploy proven operational rigor, keyword indexing, and advertising strategies, market consumer demand, macroeconomic shifts, competitor pricing wars, and supply chain delays preclude guarantees of specific dollar-volume revenue or return-on-ad-spend (ROAS).
  • Platform Autonomy: Marketplaces retain unilateral authority over search ranking indices, Buy Box algorithm allocations, fee schedules, and automated ASIN suppressions. In the event of an automated listing suppression or policy flag, we immediately file evidence-backed appeals (POAs) and liaise with partner support teams, but cannot override the final administrative determinations of third-party platforms.
SECTION 08Trade Secret Defense

8. Mutual Confidentiality & Trade Secrets

Both parties agree to hold all Proprietary Information in strict confidence:

  • Client Confidentiality: We protect your unit sales data, advertising budgets, supplier terms, manufacturing locations, and unreleased product launches. We never disclose your brand data to competing clients or third parties.
  • Agency Confidentiality: The client agrees not to copy, reverse-engineer, publish, or disclose CALI ECOMMANAGEMENT's proprietary audit methodologies, internal software tools, standard operating procedures (SOPs), or contract pricing frameworks.
SECTION 09Liability Boundaries

9. Limitation of Liability

To the maximum extent permitted under applicable law, in no event shall CALI ECOMMANAGEMENT LLC, its officers, directors, employees, or operators be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of anticipated profits, lost retail sales, business interruption, or platform-wide outages arising out of or relating to our services.

CALI ECOMMANAGEMENT's total aggregate liability arising under or in connection with any service engagement, whether in contract, tort (including negligence), or otherwise, shall be strictly limited to the total retainer fees actually paid by the client to CALI ECOMMANAGEMENT LLC in the three (3) months immediately preceding the event giving rise to the claim.

SECTION 10Exit & Offboarding

10. Term, Pausing & Cancellation Protocol

We maintain flexible month-to-month partnership terms:

  • 30-Day Written Notice: Either party may cancel ongoing retainer management by providing thirty (30) days advance written notice via email to our operations desk.
  • Smooth Transition Offboarding: During the 30-day transition period, our team completes active catalog deliverables, finalizes negative keyword bid tables, and provides an orderly handover of all campaign structures.
  • Credential Removal: Upon contract conclusion, we actively assist client administrators in removing secondary delegated permissions to ensure complete security.
SECTION 11Legal Venue

11. Governing Law & California Jurisdiction

These Terms of Service, along with any separate service agreements, shall be governed by, interpreted, and construed in accordance with the substantive laws of the State of California, United States, without giving effect to any principles of conflicts of law.

Both parties consent to the exclusive jurisdiction and venue of the state and federal courts located in San Diego County, California for the resolution of any dispute or claim arising out of or in connection with our services.
